Legal and Compliance Manager (m/f)
to be based in their offices in Luxembourg.

Their 10 Research & Development Centres are focusing on developing specific therapeutics to unmet medical needs, such as oncology and anti-infectives (AMR), where increasing treatment options is of fundamental importance. The Group's pipeline concentrates on innovative drugs and technologies for better personalized solutions to small molecules and to biologics for hematologic and solid tumours.
Position scope:
Looking for a specialized Legal and Compliance Manager to serve as in-house counsel and compliance officer and handle all legal and compliance matters and projects. This role is a challenging opportunity to support our client’s growing business and to take the lead of their Legal and Compliance Department. The successful applicant will mainly oversee:
- the managment of all legal issues of the company, as well as business ethics compliance and data privacy matters;
- the analysis, review and negotiation of a wide range of commercial agreements related to a large portfolio of products (e.g., license agreements, distribution agreements, manufacturing agreements) and all kind of agreements relating to the life cycle management of such products.
- the drafting and/or supervision and management of any other legal documents as required by day-to-day operations.
- the provision of assistance on company, commercial and intellectual property law, ensuring that decisions and actions are coherent with the Menarini Group’s policies, international laws & regulations.
- the provision of legal assistance in forming all major corporate governance instruments.
- acting as a business partner and providing daily assistance to different departments within the company;
- supporting due diligence on relevant third parties or business partners;
- the updating and enhancing of company’s Compliance Program and any other statutory and anti-corruption compliance requirement;
- the design and review of policies and procedures, in alignment with internal requirements and external relevant regulations and Trade Association Codes and to effectively implement the “Compliance Programs pursuing Italian D. Lgs. 231/01”;
- the participation, as Member, on the company’s Supervisory Body ex Italian D.Lgs. 231/01;
- support internal compliance reviews and investigations and monitor over effective implementation of corrective and preventive action plans.
- the management and development of the legal and compliance team of the company
Daily interactions with a variety of functions both at the central and the regional levels within the client’s group will allow the candidate to develop his/her skills and gaining growing responsibilities, with the possibility to advance to the position of Legal and Compliance Director according to the effective engagement and capabilities of the candidate.
Profile requirements:
- University Degree in Law with good knowledge of contract and intellectual property law (possibly complemented by a Master in Business Administration or an LLM)
- 8-10 years experience as in-house lawyer in an internationally focused company.
- Knowledge and successful experience in designing, reviewing and implementing Compliance Programs, including Italian D. Lgs. 231/01 (would be an advantage);
- Knowledge and experince on anti-bribery, anti-corruption and healthcare compliance;
- A prior experience in the healthcare/ pharmaceutical environment would be an advantage.
- Good knowledge of EU laws & regulations.
- Perfect command of English (both written and spoken) is mandatory; knowledge of any other major european language (French, Italian, Spanish or German) would be an advantage.
- Hard worker and team player with an ability to work autonomously.
- Effective planning and time-management skills.
- Excellent communication and negotiation skills, with the ability to articulate complex issues both in spoken and written English.
- Willingness to travel, as a part of job role.
